Shareholders Agreement & Partnership Agreement

I have recently joined two of my colleuges as partners in a Real Estate Investment Group - my question is in regards to establishing the corporation - we have established a shareholders agreement but are wondering how we go about coming up with an agreement that, plainly said, makes sure everyone is going to do what they say they're going to do. I believe we need a partnership agreement written up but there's a twist in it for us. Since we are just starting up, our lenders are requiring personal backing for the loans - understandable - but how do we and what kind of an agreement do we establish now that our personal interests are mixed with the corporation? It seems we need an agreement outside of the corporate walls to cover our personal ties as well. Any thoughts? Much appreciated!! grin

    If I'm understanging you, an operating aghreement or shareholder should do it.

    What aspects aren't covered in the shareholders agreement.

    death?
    divorce
    1 shareholder leaving
    one sharehold flaking, not pulling his weight and still wanting 1/3
    Chinese buy sell or right of 1st refusal.

    If you offer me 50K for my shares, I can turnaroun and say here 50K you leave.
