Registered Agent Question For LLC

smithj2 profile photo

Hello All,

I have a quick question about registered agents for an LLC. If one is residing in a state and is setting up a domestic LLC, Do we need to get a sepearate registered agent or can we use our office address and any member as a registered agent?

On the same note, is it better to form a Foreign LLC for properties in another state or to form a domestic LLC with a registered agent in that state?

Thanks in advance?

I always let my attny be the registered agent, he charges me nothing to do it and it makes it harder for people to find me.
As to cross-state LLC's I have no specific experience. But here's a point, if you are a foriegn corporation you may, if you choose, insist on being sued in federal court rather than state court.

When doing business in another state, you can either form an LLC in your state, and apply with the other state to condict business as a foreign business, or you can file a domestic LLC within that state. It's up to you. You do not need to get a seperate registered agent for your LLC, and yes, a member of the LLC can serve in this capacity.

Thanks for your replies. I was reading somehwere that since the purpose of the LLC was mainly Liability Protection (at least in Real Estate), It is more advisable to use a registered agent in order to make it more difficult for litgators to find you.

If a member serves as a Registered agent, then their address and name is public information. If a seperate registered agent or service is used, members can remain anonymous. Can anyone speak to the validity of this argument?

I have done a search for Registered agent services and I am finding that most charge about $150 per year. Is this typical? Does anyone feel that this fee is worth the extra layer of anonymity? And can a registered agent be forced to reveal who their client is in case of litigation?

Sorry for so many questions, I am just hoping to cover all bases before starting the LLC.

    Thanks again.
    JS.
