Is Foreign Registration Needed ?

I was just informed this and it seems kind of odd.

Currently now I live in CA. I have rental properties in OH. I am creating and LLC in OH to place on the title of these properties. Do I need to Register the LLC in CA. It is a Single Member LLC.

CA charges that Franchise Tax I hope this is not the case....

    No need to register your OH LLC in any other state unless your LLC is going to "Be Doing Business" in that state.

    DB, as legally defined, is very narrow, and just owning or buying & selling RE is likely NOT DB.

    Maybe even owning and renting is not DB under a particular state's laws.

    Even if a corp from state A has sales people out in all other states, this might not be DB in those other states.

    Setting up a store or branch in another state probably WOULD require registration in that state.

    Courts and legislatures have been reluctant to greatly expand what is DB.

    This could punish the people of their own state in being required to register in all the other 49, and every state wants to keep its borders open to business of all kinds from the other 49.

    Lots of law on this by the way, in every state.
