Can An LLC Be Its Another LLCs Registered Agent?
I just bought my first two apartment buildings and want to protect my investment. I already have one LLC that I want to use as my ‘master’ LLC. I think I saw Bronchick say something once about having a ‘master’ LLC with ‘slave’ LLCs (sorry for the terminology!) under it, so all of your assets are not in a single LLC..
Can I use my ‘master’ LLC as the registered agent for my ‘slave’ LLC, keeping my own name out of it as much as possible? I could do this over and over as I acquire more properties. Seems like it might provide a bit more anonymity, but maybe it’s overkill, like pole vaulting over mouse turds…. Have you done this?
There are corporations which do this (CCH, etc.).
BUT the big problem is an agent for service must be a resident of each state where it is AFS for another corp.
So, how could your corp or LLC be AFS in every state, without itself being registration in each state?
I only operate in one state so far, Minnesota. I am listed as the Registered Agent for the LLC I already have, and I want to list that existing LLC as the Registered Agent (and Organizer too, if possible) for my new LLC that will own the apartment buildings.
Minnesota LLCs do not require that you have a register agent. When filing your Articles of Orgaization with the State, that field can simply be left blank. Any questions, let me know. www.MinnLawyers.com
