Anyone Know Of A Good First Rights Of Refusal Clause

I have this lady that wants to sell her abandoned home. She want 225,000 But my comps say 140,000 at best. However I want to make her feel like she is making the right choice. My market is funny. I could probably sell it to someone for 300,000 without renovations but the investor in my area are like the dotcommers they pay alot now in hopes of selling it high later.

I like giving value so I will sell it for 225,000 through a double closing or something. Anyway I need a good first rights of refusal clause to let her know I am ethical. And if she get's that price I can still buy it with no problem. Hey I not looking a gift horse in the mouth.

Can someone help me out
