LLC: Which State? Nevada/delaware/wyoming

doll profile photo

Recently I have been researching where we can incorporate a LLC. Nevada, Delaware and wyoming are the states that came up in my research. I went to several different websites. They all have mixed information. I was wondering who I can trust. Which state is better for incorporating a LLC for a small company. I do reside in California but I do not do business in California. The purpose of incorporating is for minimized taxation and privacy. Also with a minimal annual fees for operation. Any thoughts?

Since you are doing research online do a search for "Nevada incorporation myth" and "Delaware incorpration myth" and read what you find.

How about just incorporating in the state you are going to be doing business in?

Hi Doll, long time no hear or see.

My suggestion for a person such as you living in Belmont, lucky lucky or was it all hard work? Arizona.

Deleware is slightly more friendly for Corps, but Arizona is perfect for your purpose and if you feel that some time in the future you wish to Deprive that nice Franchise Tax Bureau it is close for you to establish residence and thumb your nose at State Taxation. Besides you already have an identifiable activity in the great state of Arizona which is also helpful for licenses, etc. etc.

I'll be there next week. Enjoy, Lucius

Respectifully disagree. Mississippi -- which typically is not known as a debtor friendly state -- has the best LLC laws in the country. ONE TIME ONLY fee of costs only $50 2 set 1 up (no annual renewal fee), very little info is required of the organizer/manager/member, and best of all, you need not provide any information about yourself as owner (provided u set up appropriately). Also, state statute specifies that the corporate veil of immunity cannot be pierced due to inadequte documentation (e.g., operating agreements)
