Best States For LLC's

Anyone know which states are the best/worst for REI LLC's??

I know California (where I live) has a ridiculous fees. mad
I hear Nevada and Delaware are friendly.
Any others? Howabout Pennsylvania?

    In regards to asset protection nevada is supposed to be A #1. Plus the tax benefits.

    We use Delaware LLCs, but Nevada is also a good state for LLC formations. They both have very efficient Secretaries of State. However, if you are doing business in California, you are still required to register any entity to qualify to do business in California.

    Respectifully disagree. Mississippi -- which typically is not known as a debtor friendly state -- has the best LLC laws in the country. ONE TIME ONLY fee of costs only $50 2 set 1 up (no annual renewal fee), very little info is required of the organizer/manager/member, and best of all, you need not provide any information about yourself as owner (provided u set up appropriately). Also, state statute specifies that the corporate veil of immunity cannot be pierced due to inadequte documentation (e.g., operating agreements)
